Renewables Paralegal - Contracts and Corporate Operations Support

Locations: Houston, TX OR FULLY REMOTE (Anywhere in the USA)

This an opportunity to join an industry leading renewable energy venture with strong private equity backing that is focused on the development and execution of dynamic utility-scale energy storage projects. They are at the forefront of the industry, have accumulated over 7GW of projects in a relatively short period of time, and are currently in an accelerated expansion phase which includes the addition of a Renewables Paralegal. This is a JUNIOR - MID LEVEL role that will work with the Legal Leadership Team with a key focus on Corporate Operations and Contracts Management initiatives across the organization. It will have key interactions with the Legal Counsel as well as the Renewables Manager of Legal Operations & Corporate Governance. The scope of work will involve a holistic approach to transaction coordination, document management, and ownership of the legal administrative processes. RESPONSIBILITIES:

  • The Renewables Paralegal / Corporate Legal Contract Analyst - Takes ownership of the review, execution, distribution, and filing of project development agreements and legal documents
  • The Renewables Paralegal / Corporate Legal Contract Analyst - Works at the Legal Operation Management Team on subsidiary formation, management of statutory jurisdictional compliance filings, state qualifications, and ongoing maintenance of corporate records (including minute books)
  • The Renewables Paralegal / Corporate Legal Contract Analyst - Provides support during transaction closings, including the management of corporate deliverables and signature page coordination
  • The Renewables Paralegal / Corporate Legal Contract Analyst - Facilitates document red-lines, redactions, and contract tracking initiatives
  • The Renewables Paralegal / Corporate Legal Contract Analyst - Leads internal corporate administrative task such as alignment of organizational growth matrix and corporate governance

Job Requirements:
QUALIFICATIONS:

  • 2+ Years experience as a Paralegal, Contracts Analyst, or Legal assistant supporting Energy, EPC, or Construction related operations
  • Hands-on experience with legal record keeping, contracts management, and document management systems
  • Well versed in due diligence assessments for land purchases/sales (leases, surveys, titles) and project finance transactions
  • Ability to draft, review, and amendment of land, EPC, Project Finance, and Project development agreements
  • Experience with the the formation of business entities, LLCs, and tracking entity structures
  • Must be an effective communicator with a strong track record managing multiple task/projects while meeting business deadlines
  • Experience with renewable solar, wind, battery storage, or energy storage projects is NOT required but HIGHLY DESIRABLE
  • An understanding of national energy power market tariffs (WECC, PJM, ERCOT, SPP, MISO, NYISO, ISO-NE, and CAISO) and incentives is beneficial but NOT required
